InfoMSP Database Provider: Terms and Conditions

These terms and conditions (“Agreement”) outline the terms under which paid users (“Users”) are granted access to the InfoMSP database (“Database”) in XLSX format, following negotiation and a thorough understanding of their criteria and requirements. By accessing and using the Database, Users agree to comply with these terms and conditions. If you do not agree with these terms, you should not use the Database.

1. Access to Database:

  • Access to the Database in XLSX format is provided exclusively to paid Users upon successful negotiation with InfoMSP.
  • User accounts are non-transferable, and each User must have a unique account.
  • You agree to provide accurate and complete registration information and to keep your account information updated.

2. Permitted Use:

  • The Database is provided for informational purposes based on the negotiated criteria and requirements.
  • Users are allowed to access and utilize the Database in XLSX format according to the agreed-upon terms.

3. Prohibited Activities:

  • Users are prohibited from sharing their account credentials or the downloaded XLSX Database file with third parties.
  • Unauthorized distribution, modification, or reproduction of the XLSX Database file is strictly prohibited.
  • Users may not use the Database for any unlawful, fraudulent, or harmful activities.

4. Data Accuracy:

  • InfoMSP endeavours to provide accurate and up-to-date information in the XLSX Database file.
  • Users acknowledge that while efforts are made to ensure accuracy, InfoMSP cannot guarantee the absolute precision of the data.

5. Intellectual Property:

  • All content and materials provided within the Database, including the XLSX file, remain the property of InfoMSP or its licensors.
  • Users may not use, modify, reproduce, or distribute any part of the XLSX Database file without prior written consent from InfoMSP.

6. Privacy and Data Security:

  • InfoMSP will collect and store user data in accordance with its Privacy Policy.
  • Users are responsible for maintaining the confidentiality of their account information and the downloaded XLSX file.

7. Changes to Database:

  • InfoMSP reserves the right to modify, update, or discontinue any aspect of the Database without prior notice.
  • The XLSX Database file provided to Users will be reflective of the negotiated criteria at the time of agreement.

8. Termination:

  • InfoMSP reserves the right to terminate or suspend User accounts at its discretion if it believes the User has violated these terms and conditions.
  • Users may also choose to terminate their account at any time by contacting InfoMSP’s customer support.

9. Limitation of Liability:

  • InfoMSP is not liable for any damages or losses incurred by Users as a result of using the Database.
  • Users acknowledge that use of the Database is at their own risk and that InfoMSP does not guarantee specific outcomes.

10. Indemnification:
– Users agree to indemnify and hold InfoMSP, its officers, employees, and affiliates harmless from any claims, damages, liabilities, or expenses arising from the User’s use of the XLSX Database file or violation of these terms.

11. Governing Law and Dispute Resolution:
– This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which InfoMSP is located (India).
– Any disputes arising out of or in connection with this Agreement shall be resolved through negotiation in good faith. If negotiation fails, disputes shall be submitted to binding arbitration.

12. Modifications to Terms:
– InfoMSP reserves the right to modify these terms and conditions at any time.
– Users will be notified of any changes through the contact information provided during negotiation.

By accessing and using the InfoMSP Database in XLSX format, Users acknowledge that they have read, understood, and agreed to abide by these terms and conditions. If Users do not agree to these terms, they should refrain from using the Database. This Agreement constitutes the entire understanding between InfoMSP and Users concerning the XLSX Database and supersedes any prior agreements or understandings.
